General Terms and Conditions (GTC)
for the B2B online shop of Universal Beratungs- und Verwaltungsgesellschaft UG (haftungsbeschränkt)

1. Scope of application
These General Terms and Conditions (GTC) apply to all contracts concluded between
Universal Beratungs- und Verwaltungsgesellschaft UG (haftungsbeschränkt), Königstraße 27, 70173 Stuttgart (hereinafter referred to as “we” or “us”)
and commercial customers within the meaning of Section 14 BGB (German Civil Code) (hereinafter referred to as “Customer”) via the online shop.

By concluding the purchase contract, the customer confirms to be an entrepreneur. Consumers within the meaning of Section 13 BGB are excluded from the purchase.

3. Conclusion of contract
The product presentations in the online shop do not constitute a legally binding offer, but an non-binding invitation to place an order. By submitting the order, the customer makes a binding offer to conclude a purchase contract. Acceptance takes place through our written order confirmation or the delivery of the goods.

4. Prices and Payment
All prices are net, plus statutory VAT and shipping costs. Payment is exclusively made in advance. Shipping will only take place after full payment has been received.

5. Delivery and Shipping
Delivery takes place approximately 2–4 working days after receipt of payment, unless otherwise agreed. Shipping costs are displayed in the ordering process and depend on the delivery address and order quantity.
International deliveries may incur additional costs (e.g., customs duties, fees). For delivery countries without deposited shipping costs, please contact us directly for an individual quote.

6. Returns and Complaints
Commercial customers do not have a statutory right of withdrawal. Returns will only be accepted in the event of a justified complaint about defects or non-conformity of the goods. Returns must be agreed with us in advance.

7. Notification of Defects and Warranty
The statutory warranty rights for entrepreneurs apply (Sections 377, 381 HGB). Obvious defects must be reported in writing within 7 days of receipt of the goods. Defective goods may only be returned after consultation.

8. Liability
We are only liable for intent and gross negligence. For simple negligence, we are only liable for the breach of essential contractual obligations (cardinal obligations), but limited to the foreseeable, typical damage of the contract. Any further liability – in particular for consequential damages, production losses or loss of profit – is excluded.
We assume no liability for damages caused by improper use or processing of the delivered products.

9. Retention of Title
The delivered goods remain our property until full payment. The customer is obliged to treat the goods with care until full payment.

10. Data Protection
Personal data is processed exclusively for the purpose of contract fulfillment and communication in accordance with our data protection policy, which can be viewed at www.universal-bv.de/datenschutz. The data will not be passed on to third parties unless this is necessary for the performance of the contract.

11. Final Provisions
Should individual provisions of these GTC be or become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected. German law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

12. Place of Jurisdiction
The place of jurisdiction for all disputes arising from contractual relationships is – as far as legally permissible – Stuttgart.
